Terms of Service

These Terms of Service (the “Terms”) form a binding agreement between you and TruEXP, doing business as TruEXP (“TRUEXP,” “we,” “us,” or “our”). They govern your access to and use of TruEXP websites, mobile applications, business dashboards, APIs, event pages, verification and claim flows, TruStubs, access credentials, and, where integrated, third-party ticket information, communications, and related products and services (collectively, the “Services”).

PLEASE READ THESE TERMS CAREFULLY. THEY INCLUDE AN ARBITRATION AGREEMENT, CLASS-ACTION WAIVER, LIMITATIONS OF LIABILITY, DISCLAIMERS, AND RULES CONCERNING DIGITAL-ASSET VERIFICATION, EVENT ACCESS, EARLY-ACCESS SOFTWARE, AND THIRD-PARTY SERVICES.

1. Eligibility; Acceptance; Authority

By accessing or using the Services, creating an account, authenticating through a third-party provider, registering for an event, completing an RSVP, using an access credential, receiving or using a TruStub, or interacting with an integrated third-party ticket, or clicking an acceptance button, you agree to these Terms and any incorporated policies or event-specific rules.

• You must be at least 13 years old, and at least the age of legal majority in your jurisdiction to enter a binding contract without a parent or guardian. If you are under the age of majority, your parent or legal guardian must review and accept these Terms on your behalf. • Certain events, features, purchases, or experiences may require a higher minimum age, identity verification, a valid payment method, or additional eligibility requirements. • If you use the Services for an organization, brand, venue, community, or other entity, you represent that you have authority to bind that entity. • If you do not agree to these Terms, do not access or use the Services.

2. What TruEXP Provides

TruEXP provides identity, eligibility, event-participation, RSVP, access, TruStub, fan-engagement, loyalty, analytics, communication, and related infrastructure. Depending on the experience, TruEXP may help users authenticate, verify eligibility, reserve or claim access, complete an RSVP, receive an access credential or TruStub, check in, participate in communities, connect external services, receive communications, or maintain a history of experiences.

TruEXP is not a ticket seller, ticket marketplace, secondary ticket exchange, or ticketing company unless expressly identified otherwise for a particular feature or transaction. TruEXP generally does not sell, resell, issue, custody, or serve as the system of record for third-party admission tickets. TruEXP may integrate with ticketing or admission platforms to verify, receive, display, or use ticket-related information, but such integration does not make TruEXP the ticket seller, issuer, custodian, merchant of record, or operator of the third-party platform.

TruEXP may act in different roles. For many experiences, TruEXP is a technology vendor or platform provider that powers identity, verification, reservations, access, TruStubs, communications, check-in, analytics, or engagement for an independent organizer, host, venue, brand, community, or client. In other cases, TruEXP or an affiliate may organize, host, co-produce, sponsor, or operate an experience. The applicable event page or supplemental terms will identify the organizer and TruEXP role. Unless TruEXP is expressly identified as the organizer or host, TruEXP does not control the underlying event.

3. Accounts, Authentication, and Account Linking

Certain features require a TruEXP account. TruEXP currently uses Auth0 by Okta and may use other identity and security providers to authenticate users.

• You must provide accurate information and keep it current. • You are responsible for safeguarding your credentials, devices, recovery methods, passkeys, and sessions. • You must promptly notify us of suspected unauthorized access. • You may not sell, transfer, rent, or share your account, except where expressly permitted. • A username or display name identifies an account but does not by itself authenticate ownership. • We may create a provisional TruEXP identifier during an eligibility, RSVP, reservation, or onboarding flow and later connect it to an authenticated TruEXP account. • When you authenticate with a third-party service and then choose a TruEXP login method, you authorize us to associate the verified third-party identifier, reservation, eligibility record, access credential or TruStub, and the authenticated TruEXP account, subject to the disclosures shown in the applicable flow. • If an external identity, wallet, social account, email, Apple, Google, X, or other login is already linked to another TruEXP account, we may decline, pause, merge, recover, or require additional verification before linking.

4. Third-Party Authentication and Connected Services

The Services may permit or require you to authenticate through or connect third-party services, including authentication providers, identity providers, digital-asset and eligibility-verification providers, wallet and blockchain data providers, social platforms, media services, analytics providers, event partners, and other connected services. Current examples may include Auth0/Okta, Glyph/Privy, Apple, Google, X, Spotify, Instagram, and supported wallet providers.

• Third-party services are governed by their own terms, privacy policies, availability, security practices, and technical limitations. • TruEXP does not control and is not responsible for third-party services, except to the extent required by law. • You authorize TruEXP and the selected third party to exchange the identifiers, account status, wallet or asset information, profile fields, permissions, content, or other data described in the applicable connection screen and Privacy Policy. • Connecting a service does not give TruEXP your third-party password, private key, seed phrase, or authority to transfer assets unless a separate, explicit transaction flow clearly states otherwise. • You may disconnect optional services where the product permits, but previously created event, security, audit, fraud-prevention, or legal records may be retained as described in the Privacy Policy.

5. Digital-Asset and Wallet Verification

Some experiences may use digital-asset ownership, wallet control, account status, delegation, membership, allowlists, or other signals to determine eligibility. Verification may be performed by TRUEXP, an event organizer, Glyph, a wallet provider, a blockchain data provider, or another authorized service.

• Verification is informational and eligibility-related; it does not transfer custody or ownership of an asset. • TruEXP will never ask for your seed phrase or private key. • A signature request, if used, should identify its purpose. You are responsible for reviewing any wallet prompt before signing. • Eligibility may be based on a specific account, wallet, chain, contract, token ID, quantity, delegation, ownership snapshot, prior-use status, or event rule. • Verification may not detect every wallet or asset you control. A third-party provider may limit which wallets, chains, assets, or account relationships it exposes. • A successful verification establishes eligibility only for the stated event or feature and at the time or snapshot described. • Unless the applicable rules say otherwise, transferring, selling, delegating, unlinking, or otherwise changing an asset or wallet after verification does not automatically transfer an RSVP, account, access credential, TruStub, or integrated third-party ticket. • We may store or use event-specific records showing that an account, wallet, or eligible asset has been reserved, used, consumed, claimed, or otherwise made unavailable for another claim. • We may deny, suspend, reverse, or investigate a verification or claim where information is incomplete, inconsistent, duplicated, manipulated, fraudulent, or supplied by an unavailable or unreliable third party.

6. Reservations, RSVPs, Access Credentials, TruStubs, and Third-Party Tickets

The Service may distinguish among eligibility, reservation, RSVP completion, access activation, TruStub finalization, and, where integrated, third-party ticket verification, check-in, attendance, and TruStub finalization. A screen or event rule will indicate which stage has been completed.

• Eligibility does not guarantee capacity, admission, access activation, TruStub finalization, or entry. • A reservation may be temporary, expire, require account setup, or be subject to capacity and event rules. • A access credential or TruStub is not issued until the Service confirms issuance. • One account, identity, wallet, asset, or participant may be limited to one or another stated quantity of reservations, claims, access credentials, guests, TruStubs, or verified third-party tickets. • Access credentials and TruStubs may be personal, nontransferable, revocable, subject to check-in requirements, and associated with a specific TruEXP account. • A “TruStub” is a digital experience record associated with an event, experience, or relationship. It may reflect eligibility, RSVP status, access status, attendance, participation, personalization, or experience history. Unless expressly stated otherwise, it is not a security, investment, cryptocurrency, financial instrument, transferable NFT, proof of legal title, or guarantee of future benefits. • Event access may require a device, QR code, access screen, third-party ticket, identity check, attendance scan, organizer approval, or other verification. • Screenshots, copied codes, altered credentials, transferred assets, or duplicate accounts do not create a right to entry. • We or the organizer may cancel, revoke, correct, or reissue a reservation, access credential, TruStub, or integrated third-party ticket record where reasonably necessary for security, fraud prevention, capacity, technical correction, event operations, or legal compliance.

7. Event-Specific Rules and Organizer Terms

Each event may have additional rules concerning eligibility, guests, capacity, age, conduct, transfers, photography, recording, check-in, refunds, accessibility, health and safety, digital-asset use, and other requirements. Those rules are incorporated into these Terms when presented to you.

If event-specific rules conflict with these Terms, the event-specific rules control for that event, except that these Terms continue to govern TruEXP accounts, platform use, intellectual property, dispute resolution, privacy references, and limitations of liability.

8. Events, Venues, Organizers, and Assumption of Risk

Events are inherently subject to changes and risks. Organizers may change dates, times, locations, capacity, programming, performers, sponsors, entry procedures, or other details. Attendance may involve crowds, travel, alcohol, loud sound, weather, physical activity, communicable illness, and other foreseeable or unforeseeable risks.

• You voluntarily assume risks associated with attending an event, except to the extent liability cannot lawfully be waived. • You must follow venue, organizer, security, safety, age, and conduct requirements. • TruEXP is not responsible for an organizer’s acts or omissions, event quality, cancellation, personal injury, property loss, transportation, lodging, or third-party goods and services, except to the extent required by law or expressly assumed in writing. • Nothing in these Terms excludes liability that cannot legally be excluded.

9. Business Users, Organizers, and Partners

If you use business, organizer, admin, campaign, dashboard, data, messaging, or integration features, you additionally represent and agree that:

• You have all rights, permissions, consents, notices, and legal bases necessary for the data, content, events, assets, rules, communications, and instructions you provide. • You will provide accurate event details, eligibility rules, capacity, guest policies, and customer communications. • You will not use TruEXP data to discriminate unlawfully, make prohibited eligibility decisions, or send communications without required consent. • You will use personal information only for authorized event, service, security, support, analytics, or relationship-management purposes and in accordance with applicable law and your agreement with TRUEXP. • You are responsible for event operations, venue compliance, personnel, permits, insurance, refunds, taxes, consumer disclosures, accessibility, and safety unless a written agreement states otherwise. • You will not attempt to reidentify de-identified data, scrape the platform, export data beyond authorized scope, or combine TruEXP data with unlawful or incompatible datasets. • Additional commercial terms, data-processing terms, statements of work, order forms, or partner agreements may apply.

10. Early-Access, Beta, TestFlight, and Experimental Features

Some Services may be offered as alpha, beta, preview, pilot, TestFlight, invitation-only, prerelease, or early-access features (“Early-Access Features”).

• Early-Access Features may be incomplete, contain errors, change without notice, operate intermittently, expire, or be discontinued. • We may issue updates, require reinstallation, limit capacity, reset test data, or restrict access. • TestFlight and similar distribution services are operated by third parties and may impose build-expiration, device, account, review, or availability requirements. • You should not rely on Early-Access Features as the sole record of an RSVP or admission if the applicable flow provides a confirmation, support, or recovery method. • Feedback is voluntary unless a separate agreement says otherwise. If you provide feedback, you grant TruEXP a perpetual, worldwide, royalty-free right to use it without restriction or compensation. • To the maximum extent permitted by law, Early-Access Features are provided “AS IS” and “AS AVAILABLE.”

11. Communications and Notifications

We may send transactional or service communications necessary to administer accounts, security, RSVPs, access credentials, TruStubs, integrated third-party tickets, events, support, policy updates, and legal notices. Marketing communications will be sent where permitted by law and according to your preferences or consent.

• You may opt out of marketing without affecting essential service communications. • Push notifications, SMS, email, and in-app messages may depend on device settings and third-party delivery providers. • You are responsible for keeping contact information current. • Message and data rates may apply.

12. User Content, Profiles, Community Features, and Moderation

You retain ownership of content you submit, including profile images, usernames, event photos, posts, comments, messages, reviews, and TruStub or access customization content (“User Content”).

You grant TruEXP a worldwide, nonexclusive, sublicensable, royalty-free license to host, store, reproduce, format, display, distribute, adapt, and use User Content as necessary to operate, secure, promote, improve, and provide the Services and associated events, subject to your privacy settings, applicable law, and any event-specific media terms.

You must own or have permission to use User Content.

You may not upload, post, transmit, share, distribute, display, submit, or otherwise make available User Content that:

• Is unlawful or promotes illegal activity; • Is sexually explicit, pornographic, or contains nudity intended for sexual gratification; • Is obscene, indecent, vulgar, graphic, lewd, offensive, or otherwise inappropriate; • Depicts or promotes graphic violence, gore, torture, abuse, or other disturbing imagery; • Contains hate speech, harassment, threats, bullying, intimidation, abuse, or discriminatory content directed toward any individual or group; • Exploits, endangers, or depicts minors in any unlawful, sexual, abusive, exploitative, or inappropriate manner; • Encourages self-harm, suicide, eating disorders, dangerous activities, or harm to others; • Infringes upon the intellectual property, privacy, publicity, contractual, or other legal rights of any third party; • Contains malware, viruses, malicious code, spam, scams, fraudulent content, or attempts to deceive or impersonate others; • Violates these Terms, applicable laws, event-specific rules, community standards, or the rights of others.

TruEXP reserves the right, but does not assume any obligation, to monitor, investigate, remove, restrict, disable access to, preserve, disclose, or refuse to publish any User Content that we determine, in our reasonable discretion, violates these Terms, applicable law, event-specific rules, community standards, or is otherwise objectionable, harmful, unsafe, or inconsistent with the purpose of the Services.

We may suspend or permanently terminate accounts, restrict features, revoke participation opportunities, or take other appropriate action for User Content or conduct that violates these Terms or harms the safety, trust, integrity, or operation of the Services.

Users remain solely responsible for all User Content they upload, post, transmit, share, or otherwise make available through the Services.

The Services may contain content, communications, images, media, or other materials submitted by users or third parties. TruEXP does not pre-screen, endorse, verify, monitor, or guarantee the accuracy, legality, quality, safety, or appropriateness of all User Content and makes no representations or warranties regarding such content.

You acknowledge that while we may moderate User Content, we cannot guarantee that objectionable, offensive, inaccurate, misleading, explicit, harmful, or otherwise inappropriate material will never appear on the Services. If you encounter content that you believe violates these Terms or applicable law, you may report it through any reporting tools provided within the Services or by contacting TruEXP. We may review reported content, but we do not guarantee any specific response time or outcome.

13. Intellectual Property; Limited License

The Services, software, interfaces, designs, databases, trademarks, logos, documentation, and other TruEXP materials are owned by TruEXP or its licensors and protected by law.

Subject to these Terms, TruEXP grants you a limited, personal, revocable, nonexclusive, nontransferable, nonsublicensable license to use the Services for their intended purpose. No other rights are granted.

14. Acceptable Use and Prohibited Conduct

• Break any law, regulation, court order, contractual duty, or third-party right. • Use bots, scripts, automation, scraping, credential stuffing, or bulk account creation without written permission. • Circumvent eligibility, capacity, geographic, age, identity, wallet, asset, claim, access-credential, TruStub, or third-party-ticket restrictions. • Reuse, transfer, conceal, fabricate, or manipulate identities, wallets, assets, signatures, access credentials, third-party tickets, QR codes, continuation links, or verification results. • Reverse engineer, probe, scan, test, or interfere with the security or integrity of the Services, except under an authorized security program. • Introduce malware or harmful code; overload systems; or disrupt other users. • Impersonate others or misrepresent affiliation, ownership, authority, attendance, or eligibility. • Engage in lewd, sexually inappropriate, predatory, threatening, harassing, abusive, discriminatory, unsafe, disruptive, exploitative, or otherwise inappropriate behavior toward other users, attendees, organizers, partners, staff, or community members, whether through the Services or in connection with any TruEXP-powered experience. • Upload, post, share, transmit, display, or engage in content or conduct that is harassing, threatening, intimidating, abusive, hateful, discriminatory, lewd, sexually explicit, obscene, vulgar, graphic, offensive, exploitative, predatory, unsafe, disruptive, or otherwise inappropriate, as determined by TruEXP in its reasonable discretion. • Harvest personal information or use it for unsolicited marketing, stalking, harassment, discrimination, or unauthorized profiling. • Use the Services to facilitate fraud, unlawful resale, money laundering, sanctions evasion, market manipulation, or other prohibited activity. • Infringe intellectual property, privacy, publicity, or other rights.

15. Payments, Commerce, Rewards, and Future Features

TruEXP may introduce paid access, third-party ticket integrations, subscriptions, merchandise, rewards, redemptions, promotions, memberships, marketplace features, wallet functionality, or other transactions. Additional terms, fees, taxes, refund rules, eligibility conditions, and third-party processor terms may apply and will be presented before use.

Unless expressly stated, points, status, access, rewards, digital stubs, or other benefits have no cash value, are not transferable, may expire, and may be modified or discontinued subject to applicable law.

16. Privacy

Our Privacy Policy explains how TruEXP collects, uses, discloses, retains, and protects personal information. Notices presented at collection, event rules, and integration-specific disclosures may provide additional information and are incorporated by reference.

17. Security; Suspension; Investigations

We may use automated and manual methods to detect fraud, abuse, duplicate claims, account conflicts, security incidents, policy violations, or technical anomalies. We may temporarily hold, suspend, restrict, recover, merge, or terminate accounts, claims, access credentials, TruStubs, integrated third-party ticket records, content, integrations, or access while investigating.

You agree to reasonably cooperate with verification and security requests. We are not obligated to disclose security methods or investigation details where doing so could undermine safety, privacy, or fraud prevention.

18. Availability; Changes; Discontinuation

We may add, modify, suspend, discontinue, or limit any part of the Services, including features, integrations, eligibility methods, storage, communications, or availability. We will provide notice where required by law. We are not liable for changes made in good faith to maintain security, legal compliance, product quality, or business operations.

19. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES, EARLY-ACCESS FEATURES, VERIFICATION RESULTS, ACCESS CREDENTIALS, TRUSTUBS, INTEGRATED THIRD-PARTY TICKET INFORMATION, CONTENT, AND THIRD-PARTY INTEGRATIONS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, OR QUIET ENJOYMENT.

TruEXP DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPATIBLE WITH EVERY DEVICE, WALLET, ACCOUNT, NETWORK, CHAIN, ASSET, OR THIRD-PARTY SERVICE; THAT ANY ELIGIBILITY OR OWNERSHIP RESULT WILL BE COMPLETE OR CURRENT; OR THAT AN EVENT, BENEFIT, ORGANIZER, OR THIRD PARTY WILL PERFORM AS EXPECTED.

20. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TruEXP AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, SERVICE PROVIDERS, AND PARTNERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES; LOST PROFITS, REVENUE, DATA, GOODWILL, USE, OPPORTUNITY, OR BUSINESS; OR DAMAGES ARISING FROM EVENT CANCELLATION, THIRD-PARTY SERVICES, DIGITAL-ASSET VALUE, WALLET ACTIVITY, UNAUTHORIZED ACCESS, DEVICE FAILURE, OR LOSS OF ACCESS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF TruEXP FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID DIRECTLY TO TruEXP FOR THE AFFECTED SERVICE DURING THE SIX MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US $100).

These limitations do not apply to liability that cannot lawfully be limited, including where applicable liability for gross negligence, willful misconduct, fraud, or certain personal injury or statutory rights.

21. Indemnification

To the maximum extent permitted by law, you will defend, indemnify, and hold harmless TruEXP and its affiliates, officers, directors, employees, contractors, agents, licensors, service providers, and partners from claims, liabilities, damages, judgments, losses, and expenses, including reasonable attorneys’ fees, arising from your User Content, event or business activities, violation of these Terms, misuse of the Services, violation of law, or infringement of another person’s rights. This section does not require a consumer to indemnify TruEXP for TRUEXP’s own unlawful conduct.

22. Dispute Resolution; Informal Process; Arbitration; Class Waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

Before filing a claim, you and TruEXP agree to attempt to resolve the dispute informally. The complaining party must send a written notice describing the dispute, requested relief, and contact information to legal@truexp.com. The parties will have 30 days to attempt resolution.

Except for eligible small-claims matters, intellectual-property or unauthorized-access injunctions, or claims that cannot legally be arbitrated, disputes will be resolved by binding individual arbitration administered by the American Arbitration Association under the applicable Consumer Arbitration Rules. Arbitration may occur remotely unless the arbitrator requires otherwise.

• No class, collective, consolidated, mass, private-attorney-general, or representative proceeding is permitted to the extent enforceable. • The arbitrator may award the same individual remedies a court could award. • Each party retains the right to seek relief in small claims court for eligible individual claims. • You may opt out of arbitration by sending a signed notice to legal@truexp.com within 30 days after first accepting these Terms. The notice must include your name, account identifier, email, and a clear statement that you opt out. • If a court finds the class-action waiver unenforceable as to a particular claim or request for public injunctive relief, that portion will proceed in court after any arbitrable issues are resolved. • The Federal Arbitration Act governs this section.

23. Governing Law; Venue

Except as governed by the Federal Arbitration Act or otherwise required by law, these Terms are governed by California law without regard to conflict-of-law principles. For disputes not subject to arbitration, the parties consent to the exclusive jurisdiction of state and federal courts located in California, unless applicable consumer law requires another forum.

24. Termination

You may stop using the Services and request account deletion subject to the Privacy Policy. We may suspend or terminate access for violation of these Terms, security or legal risk, nonpayment, abuse, inactivity, discontinuation, or other legitimate business reasons, with notice where required.

Termination does not erase obligations or records that must or may be retained for legal, security, fraud-prevention, accounting, dispute, event, or operational purposes. Sections that by nature should survive will survive.

25. Changes to These Terms

We may update these Terms to reflect product, legal, security, or business changes. We will provide notice of material changes as required by law, such as through the Service, email, or a revised effective date. Changes apply prospectively unless otherwise permitted. Your continued use after the effective date constitutes acceptance where legally permitted.

26. General Terms

• These Terms, the Privacy Policy, event rules, notices at collection, and applicable commercial agreements constitute the entire agreement concerning the Services. • If a provision is unenforceable, it will be modified to the minimum extent necessary, and the remaining provisions remain effective. • Failure to enforce a provision is not a waiver. • You may not assign these Terms without our consent. We may assign them in connection with a merger, financing, reorganization, sale, or transfer of the Services. • Headings are for convenience only. • Electronic notices and signatures satisfy written requirements to the extent permitted by law. • No agency, partnership, employment, fiduciary, franchise, or joint venture relationship is created.
